The Legal & Compliance department support the other business units and support teams with expert advise regarding contract law, GDPR, compliance related issues and many other topics requiring legal support.

Job Summary

 

The Senior Legal Counsel and Compliance (SLC) is responsible to provide and coordinate professional legal and compliance services on a wide range of topics to the different Terumo businesses and functions across EMEA. In this role you collaborate with colleagues in EMEA as well as globally when required. The SLC will be part of the senior leadership team to support the General Counsel (GC) to build and manage the legal and compliance team and determine short- and long-term strategy. As Head of Compliance the SLC is responsible for the day-to-day management of the healthcare compliance and bribery related compliance programs and any other designated compliance programs assigned by the GC together with a team of dedicated compliance officers.

Job Responsibilities

 

  • As our Senior Legal Counsel you'll be a member of the Legal & Compliance Department Senior Leadership Team. You'll have to act as a partner to the General Counsel EMEA to implement the Legal & Compliance strategy, to build the legal and compliance team, and to continuously improve the Legal & Compliance activities and services. So you'll work strategically with legal staff and outside counsels.  
  • You'll be a role model as a professional lawyer with high ethical standards in line with the Terumo Core Values and support close cooperation and communication in the Terumo Europe (TE) legal and compliance team, as well as with colleagues globally in Terumo Corporation (TC), international business, and other Terumo companies. 
  • As member of the Legal & Compliance team, you'll have the objective to defend and protect the interests of Terumo an the various businesses. You understand, evaluate and timely, clearly, and effectively communicate the legal implications, risks and opportunities associated with commercial transactions, business operations and projects. This all while at the same time understanding the business requirements and needs of the company. You render professional legal advice and support in matters covering a broad spectrum of commercial and legal subjects. You draft, review and recommend common company contracts, participate in negotiations, draft and recommend amendments to (EMEA wide) standard contracts for customers, suppliers and business partners. 
  • As our Lead Lawyer you provide legal services to identified Business Units (BU's) and Support Functions (eg. IT, HR, Finance, ...) assigned by the GC. You remain informed of and keep substantive oversight of legal issues and risks concerning the assigned BU's and Support Functions. 
  • As the Legal Expert you act as an internal expert in commercial law and in the areas of the expertise assigned to you. You are the go-to-person in your area of expertise, and keep legal knowledge up to date. 
  • Regarding Ethics and Compliance, you support the implementation of compliance policies and the development of a compliance culture in the BU/Support Function you support. You assist in setting standards for implementation of compliance policies. You advice and give guidance to the BU/Function on compliance topics in day to day activities. You seek to understand the business needs, objectives and context as a true business partner. 
  • As our Compliance Lead, you develop, implement and manage effective compliance programs relating to COC, Bribery, Conflict of Interest, Speak-up and any other designated compliance programs assigned to you by the GC. You provide training, and ensure training is provided throughout the company. You set up monitoring programs and support audits and improvement actions, meaning you closely collaborate with the Audit team and the Terumo Risk Manager. You support the development of a compliance culture. You support the GC in reporting on compliance matters to the Risk and Compliance Committee and the Board of Directors to enable executive oversight.
  • You manage a group of dedicated Compliance Specialists and build, manage and lead this compliance team. You lead and coach the team members, encourage their continuous development to have a high performing team and foster interchangeability of roles.
  • Lastly, you'll represent the General Counsel and other senior lawyers during their absence. 

Profile Description

 

  • You own a University Degree in law. 
  • You can bring minimum 10 years of experience in the legal area, either as a solicitor or an in-house counsel. An outside counsel experience is a plus.
  • You are flexible in changing priorities, commercially oriented and a good communicator. The environment is fast-moving, involving the management of and prioritising of a large volume of complex work, ensuring timely delivery and high quality.
  • You're able to work confidently in foreign jurisdictions.
  • You have excellent communication skills in English, both verbal and written. 
  • You're located in Europe. If not located in Belgium, you're willing to frequently travel to Belgium to meet with your colleagues.
