Our Legal and Compliance team protects Terumo's assets and people in EMEA, while enabling its goals and vision through expert support, proactive business partnering, and effective risk management. We are now looking for a Corporate Paralegal to support this motivated and engaged team.

 

Job Summary

 

As a key member of our EMEA Legal & Compliance team, you play a central role in ensuring strong legal entity governance and well-structured corporate documentation across the region. Supporting approximately 20 legal entities throughout EMEA, you act as a trusted corporate paralegal partner, maintaining accurate records, enabling consistent compliance, and safeguarding the quality and reliability of our legal processes.

 

In this role, your primary focus is on corporate housekeeping and paralegal responsibilities. You ensure that all legal entities operate in line with applicable laws and internal standards by maintaining precise documentation and supporting governance processes. You work closely with internal stakeholders and external advisors, where clarity, accuracy, and professionalism are essential.

 

With your proactive mindset, strong attention to detail, and ability to manage multiple priorities, you contribute to protecting and supporting Terumo’s business across EMEA, ensuring each entity operates with integrity and full compliance.

 

Job Responsibilities

 
  • Manage corporate housekeeping for all EMEA legal entities, ensuring accurate statutory records and timely jurisdictional filings
  • Prepare and maintain legal documentation, including board and shareholder resolutions, annual accounts, director updates, and powers of attorney
  • Maintain and update legal entity records, databases, and document repositories to ensure accuracy, accessibility, and audit readiness
  • Support governance processes by maintaining key documents such as the Signing Policy and ensuring consistent application across entities
  • Assist in the preparation of internal reports and legal documentation for EMEA management and headquarters
  • Conduct legal research and support document review and fact-finding activities for the Legal & Compliance team
  • Coordinate with external counsel on corporate matters, ensuring timely and effective collaboration

 

Profile Description

 
  • Proven experience as a corporate paralegal or in a similar role with exposure to entity management and corporate housekeeping
  • Strong organizational skills and a meticulous approach to legal documentation and record-keeping
  • High level of discretion and ability to handle sensitive and confidential information
  • Proactive, structured, and able to manage multiple priorities in a complex, international environment
  • Comfortable working with multiple stakeholders in a matrix organization
  • Fluency in Dutch and English (Dutch required for local legal documentation; English for the EMEA context)
  • Availability to work on-site approximately 2.5 days per week (hybrid model)
