Our Legal & Compliance team supports and protects Terumo's business across the EMEA region by providing expert legal guidance, promoting compliance, and ensuring strong corporate governance. Working in a highly international environment and collaborating closely with colleagues across the region and beyond, the team plays a key role in enabling sustainable business growth while safeguarding Terumo's reputation and integrity. As trusted business partners, the team advises on a broad range of legal and compliance matters, including corporate governance, commercial activities, risk management, regulatory compliance and business operations, helping the organization make informed decisions while ensuring compliance with applicable laws and internal policies.
 
 

Job Summary

 
As Corporate Paralegal, you will join a collaborative and highly engaged team that values ownership, accuracy and mutual support. In this role, you will play an essential part in maintaining the legal foundation of Terumo's EMEA organization by supporting the governance and administration of our 20 legal entities across the region. You will coordinate corporate housekeeping activities, maintain statutory records and legal documentation and support corporate governance processes to ensure compliance across multiple jurisdictions. Working closely with legal colleagues, external advisors and corporate stakeholders, you will help ensure our entities are properly governed, documented and managed, contributing to a strong and reliable legal framework that supports Terumo's continued growth.
 

Job Responsibilities

 
  • Manage corporate housekeeping activities for legal entities across EMEA.
  • Maintain statutory records and ensure timely corporate filings in various jurisdictions.
  • Prepare and maintain corporate legal documentation, including board resolutions, shareholder resolutions and powers of attorney. 
  • Coordinate annual corporate governance activities and legal entity compliance requirements.
  • Maintain accurate legal entity records, organizational charts, and governance documentation.
  • Conduct legal research and gather information to support corporate, governance and compliance matters.
  • Assist with the preparation and review of legal documents and standardized corporate templates.
  • Coordinate with external counsel, notaries, chambers of commerce and regulatory authorities where required.
  • Prepare governance reports, corporate updates, and documentation for internal stakeholders and headquarters in Japan.
  • Ensure proper maintenance and accessibility of legal records and document repositories.

 

Profile Description

 

  • Bachelor's degree in Law, Paralegal Studies, Legal Practice, or equivalent experience.
  • Experience as Paralegal with corporate housekeeping, legal entity management and or corporate governance activities.
  • Experience within an international organization or regulated industry is an asset.
  • Strong understanding of corporate documentation and legal administrative processes.
  • Excellent organizational skills and strong attention to detail.
  • High level of discretion and ability to manage confidential information.
  • Proactive, structured and capable of independently coordinating multiple priorities.
  • Strong communication skills and stakeholder management abilities.
  • Excellent command of English. Knowledge of Dutch is a strong plus.
